01. Who we are
Zero Freeze is a live AI assistant for customer conversations, sales calls, job interviews, and meeting preparation. These proposed terms cover the website, the downloadable Mac app, and the connected assistance service (together, the “Service”). “We” and “us” mean the operator to be identified below; “you” means the person or business using the Service.

The final terms will be presented for acceptance when the Service is ready. Creem’s separate buyer terms govern purchases made through its checkout; these service terms do not replace that agreement.
02. The service & your account
The website handles sign-in, account management, billing, credits, and Mac downloads. Live assistance and document preparation run in the Mac app. Cloud-assisted answers require an internet connection, a valid signed-in account, and sufficient credits. Device and macOS requirements will be stated with the applicable download.
You must have legal capacity to enter an agreement and authority to act for any business you represent. Keep your account information accurate, protect access to your account and approved devices, and report suspected unauthorized use. Do not sell, rent, or share account credentials, or create accounts to evade usage limits.
03. Free trial & credits
An eligible account receives 10 free credits once, equivalent to 10 active minutes. The allowance belongs to your account, not each Mac installation. Reinstalling or approving another device does not reset it. The free allowance does not itself start a paid subscription.
One credit represents one active minute of cloud-assisted use. Metering is time-based, not per answer: an active session can consume credits while listening or waiting for a response. Use Pause or Stop to end active metering. A disconnected session may take up to 30 seconds after its last heartbeat to expire. Partial minutes may be deducted, and the displayed balance may be rounded.
Credit packs are one-time purchases and do not top up automatically. Credits are service usage allowances, not money, a deposit, or a transferable payment instrument. They cannot be traded or redeemed for cash except where a refund or other remedy is required by law or an applicable purchase policy.
Launch decision pending: subscription rollover, credit-pack expiry, and treatment of unused credits after cancellation must be defined, disclosed before checkout, and matched by the billing implementation. The current test system does not enforce expiry or rollover limits; that is not a promise of a permanent commercial policy.
04. Payments & subscriptions
Available plans and credit quantities appear on the pricing page and in your account. Website prices are in USD unless expressly stated otherwise. Review the checkout total, currency, applicable taxes, billing interval, and renewal terms before authorizing payment.
For purchases made through Creem, Creem acts as merchant of record and handles checkout, payment collection, and receipts. Its Buyer Terms apply to that transaction and take precedence over inconsistent purchase provisions here. We provide the app and assistance service. Do not send card details to our support team.
A monthly subscription is recurring, unlike a one-time credit pack. It renews and charges at the interval and price disclosed at checkout unless cancelled under the applicable renewal terms. A successful paid renewal supplies the plan’s stated credit allowance. Payment confirmation may take time to reach your account; a checkout return page alone is not confirmation of credit delivery.
Local simulated purchases and Creem sandbox transactions are tests, not real purchases or proof of a live subscription. Future pricing changes should be disclosed before they apply to a renewal, with an opportunity to cancel and subject to applicable law.
05. Cancellation & refunds
For a live Creem subscription, use the billing management link in your account or the customer portal linked in your receipt. Check the portal’s cancellation confirmation and effective date. Uninstalling the Mac app, signing out, or stopping a call does not cancel recurring billing.
For a billing error, duplicate charge, missing credits, or a service problem, contact the merchant support details on your receipt with the order reference and a description of the issue. Creem also provides purchase support. Refunds for Creem purchases are processed through Creem, not by an independent transfer outside its payment service.
Cancellation and a refund are different requests. Nothing here removes mandatory rights to a refund, withdrawal, repair, or other remedy. Eligibility depends on the purchase terms and applicable law; this draft does not impose a blanket “no refunds” rule or waive a cooling-off right simply because you use the app.
Launch decision pending: approve a voluntary refund policy, specify unused-credit treatment, and test cancellation, refunds, and related credit adjustments end to end before accepting live payments.
06. Responsible use
Use the Service only where you have permission to process the conversation and materials involved. Provide any required notice to participants and obtain required consent or other lawful authorization before capturing or transcribing a call or sending its content for cloud processing. Follow applicable law, confidentiality duties, and relevant workplace and meeting-platform rules.
Do not use the Service to impersonate people, commit fraud, infringe intellectual property, unlawfully disclose confidential information, harass others, distribute malware, bypass access controls, or disrupt the Service. Do not upload passwords, authentication secrets, payment-card details, or information you are not authorized to disclose.
You control what you say and share. The assistant does not make commitments to customers or enter agreements on your behalf.
07. Your content & privacy
You retain your rights in the documents, notes, and other materials you provide. You must have the rights and permissions needed for their use. The proposed permission to process that content is limited to providing, securing, and supporting the features you request; it is not a transfer of ownership.
Document files and the local search index remain on your device in the current design. Local-first does not mean entirely offline: while listening in the Deepgram-enabled app, microphone and call audio are streamed through our authenticated backend to Deepgram Nova-3 for transcription. Stopping or pausing ends audio capture and streaming. We do not persist audio files in the app or our backend. Questions, recent conversation and AI-answer context, and selected document excerpts are sent through our backend to the configured AI provider to generate answers. Account and billing records are also processed outside your device. Do not assume that all processing stays in Singapore.
Deepgram requests are configured to opt out of its Model Improvement Program. This setting is not a promise of zero provider retention. Provider processing and retention are subject to the applicable service terms and account configuration, which must be reviewed before public launch.
Keep your own copies of important materials and accepted answers. In-app conversation history is session-oriented and should not be treated as a permanent archive.
Before launch: publish a separate Privacy Notice identifying the legal operator, data-protection contact, purposes, providers, overseas transfers, retention, and access, correction, and deletion processes. These terms are not a substitute for that notice or for any consent required from other call participants.
08. AI answers & limitations
Speech recognition, question detection, retrieval, and AI generation can be incomplete, delayed, or incorrect. Answers may miss context, misread a document, or include unsupported statements. A citation is a pointer to material, not a guarantee that the answer is accurate. Check original sources before relying on or sharing a response.
Streaming text is provisional until the answer finishes. The Service does not guarantee detection of every question, a particular response time, compatibility with every meeting platform, or a sales or business outcome. Suggestions are not professional legal, medical, financial, or other regulated advice.
Illustrative website conversations and AI-generated portraits demonstrate an experience; they are not recordings of actual customers, endorsements, or proof of measured performance.
09. Software & ownership
Subject to the final agreement, we propose granting a limited, non-exclusive, non-transferable right to install and use the Mac app on authorized devices for your permitted use. The Service’s software, branding, and website remain the property of their respective owners. Third-party and open-source components remain subject to their applicable licences.
Do not redistribute the app or resell access without permission. Restrictions on modification or reverse engineering apply only to the extent permitted by law and applicable third-party licences. Updates may be necessary for security, compatibility, or continued access.
10. Availability & termination
The Service depends on your device, permissions, network, and third-party infrastructure. Maintenance or provider outages may interrupt it. Preview and test features may change, and a test build is not a guarantee that a signed public release is available.
We may restrict access where reasonably necessary to address fraud, security risks, unlawful use, or a material breach of the final terms. Where practical and lawful, we should explain the reason and provide a way to resolve it. Suspension does not remove any mandatory consumer rights or automatically determine refund eligibility.
You may stop using the Service at any time. Recurring purchases must be cancelled separately. If we discontinue a paid service or terminate access other than for a justified breach, we must address affected prepaid service and unused credits under the applicable purchase terms and law; we do not claim a right to retain all fees without a remedy.
11. Responsibility & legal rights
We do not promise error-free AI output or uninterrupted availability. You remain responsible for reviewing suggestions and deciding how to use them. This does not exclude our obligation to meet applicable legal standards or any express commitments in the final agreement.
Nothing in the final agreement should exclude or restrict liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or non-excludable consumer rights. Any proposed limitation must be lawful and reasonable. No financial liability cap or blanket customer indemnity is set by this draft; those require specific legal review.
12. Changes & disputes
These Terms and any dispute arising out of or in connection with the Service are governed by and construed in accordance with the laws of Singapore. The courts of Singapore have non-exclusive jurisdiction, subject to any mandatory consumer protections and rights to bring proceedings in another competent court that cannot lawfully be excluded. Creem’s separate agreement governs disputes about its own checkout and customer services.
Contact the operator first to try to resolve a service complaint. This does not prevent you from using a regulator, court, payment-provider process, or other remedy available by law.
The final terms should identify their effective date and version. Material changes should be communicated in advance where required, with renewed acceptance where necessary. Changes should not retrospectively remove accrued rights. If a provision is unenforceable, the remaining lawful provisions continue to apply.
